If Sun Valley\u2019s Amended Offer is successful, the entity states that it expects to own and exercise control over a minimum of 92.4 million common shares and a maximum of 170.4 million Mineros shares (170,409,548), representing approximately 30.85% and 56.85% of the mining company\u2019s shares, respectively.<\/p>\n\n\n\n

The trading of Mineros\u2019 shares on the Colombian Stock Exchange (BVC) resumed on March 3, 2025, after being halted on February 24, when the Financial Superintendency of Colombia (SFC) notified that it had received a request from Negocios y Representaciones S.A.S. to submit a competing public tender offer.<\/p>\n\n\n\n

\u201cSince the Modified Sun Valley Offer is a public tender offer competing with the previous pending public tender offer from Negocios y Representaciones S.A.S., any acceptance of the preceding competing offer will be automatically considered as acceptance of the Modified Sun Valley 2 Offer. The trading of Mineros shares on the Toronto Stock Exchange was not interrupted in relation to the previous public tender offers and is expected to remain unaffected,\u201d Mineros emphasized.<\/p>\n\n\n\n
