TORONTO\u2013(BUSINESS WIRE<\/a>)\u2013Sun Valley Investments AG (<\/strong>\u201cSun Valley<\/strong>\u201d) today announces the commencement of a public offer to purchase common shares (\u201cCommon<\/strong> Shares<\/strong>\u201d) of Mineros S.A. (\u201cLa compa\u00f1\u00eda Mineros<\/strong>\u201d or the \u201cCompany<\/strong>\u201d, TSX: MSA, CB: MINEROS) by way of an Oferta P\u00fablica de Adquisici\u00f3n<\/em> (the \u201cOPA<\/strong>\u201d or the \u201cOffer<\/strong>\u201d) through the facilities of the Colombia Securities Exchange at a price per Common Share equal to 4,600 Colombian pesos (\u201cCOP<\/strong>\u201d), equivalent to approximately CAD $1.58 as of the date of this news release, payable in cash.<\/p>\n\n\n\n

A more detailed description of the OPA, which includes where and how Mineros shareholders can obtain a copy of documents relating to the OPA (the \u201cOffer Booklet<\/a><\/strong>\u201d) and instructions outlining how Mineros shareholders who hold their Common Shares in Canada can participate in the OPA, is attached to this news release as Appendix A and available at the following link: https:\/\/sunvalleyinv.com\/opa\/<\/a>. Sun Valley is relying on the foreign take-over bid exemption set out in Section 4.4 of National Instrument 62-104 \u2013 Take-Over Bids and Issuer Bids<\/em> in connection with the Offer.<\/p>\n\n\n\n

Immediately prior to the OPA, Sun Valley beneficially owned and exercised control over 92,477,823 Common Shares, representing 30.85% of the issued and outstanding Common Shares. Sun Valley will acquire ownership and control of a minimum of 14,986,870 Common Shares and a maximum of 26,976,366 Common Shares pursuant to the OPA, unless the OPA is amended in accordance with the terms described in the Offer Booklet. As a result, following the OPA, Sun Valley will own and exercise control over a minimum of 107,464,693 Common Shares and a maximum of 119,454,189 Common Shares, respectively representing approximately 35.85% and 39.85% of the issued and outstanding Common Shares as of December 10, 2024. The total aggregate consideration paid by Sun Valley for Common Shares pursuant to the OPA will be a minimum of COP 68,939,602,000, equivalent to approximately CAD $23,679,255 as of the date of this news release, and a maximum of COP 124,091,283,600, equivalent to approximately CAD $42,622,658 as of the date of this news release.<\/p>\n\n\n\n

Sun Valley will hold its Common Shares for investment purposes and will evaluate its investment in Mineros on an ongoing basis and may increase or decrease its holdings in Mineros and otherwise engage with the Company in the future, subject to market conditions and other relevant factors.<\/p>\n\n\n\n
